These Terms and Conditions govern your use of the quorinth website and any consulting services provided by quorinth, a business consulting practice based at 27/1 Nimmanhemin Road, Suthep, Mueang Chiang Mai, Chiang Mai 50200, Thailand. By using our website or engaging our services, you agree to these Terms.

1. Definitions

• "Service" means the consulting services offered by quorinth, including the Business Clarity Workshop, Client Retention Strategy Development, and Long-Term Advisory Retainer
• "Client" means any individual or organisation that engages quorinth for consulting services
• "Website" means the quorinth website at quorinthi.pro
• "Engagement Agreement" means the written agreement defining scope, deliverables, timeline, and fees for a specific consulting engagement

2. Acceptance of Terms

By accessing our website or submitting an enquiry, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Use of our website constitutes acceptance of these Terms.

3. Description of Services

quorinth provides business consulting services to founders, business owners, and leadership teams. Our three consulting formats are described on our website and in Engagement Agreements provided prior to the commencement of any engagement. Service availability is subject to our current capacity. We reserve the right to decline engagements at our discretion.

4. Engagement Agreement

All consulting engagements are governed by a separate written Engagement Agreement that specifies the scope of work, deliverables, timeline, fees, and payment terms. These Terms apply in addition to the Engagement Agreement. In the event of any conflict, the Engagement Agreement prevails for the specific engagement.

5. User Responsibilities

• Provide accurate and complete information in all communications
• Use the website only for lawful purposes
• Not attempt to disrupt or gain unauthorised access to our website or systems
• Not reproduce or distribute website content without prior written consent
• Comply with all applicable Thai and international laws

6. Intellectual Property

All website content is the property of quorinth or used with appropriate permission. Deliverables produced during a consulting engagement transfer to the Client upon full payment. quorinth retains the right to use generalised methodologies developed during engagements.

7. Payment Terms

Fees are as specified in the Engagement Agreement:

• Business Clarity Workshop: Invoiced in full prior to the session date
• Client Retention Strategy: 50% on agreement, 50% on delivery
• Advisory Retainer: Monthly in advance at the start of each month

All fees are in Thai Baht and include VAT where applicable. Late payments may incur interest at the rate permitted under Thai law.

8. Cancellation and Refunds

Workshop sessions cancelled more than 7 days before the scheduled date may be rescheduled without charge; cancellations within 7 days forfeit 50% of the fee. For project-based engagements, fees for work completed to the cancellation date are non-refundable. Advisory retainers may be terminated with 30 days written notice; fees for the termination month are non-refundable.

9. Confidentiality

quorinth treats all client information as confidential. A mutual confidentiality agreement is part of the standard terms for all consulting engagements. We do not share client information with third parties or reference client cases without consent. Clients are similarly expected to treat quorinth's proprietary methodologies as confidential.

10. Disclaimers

quorinth provides advisory consulting services. We do not provide legal, financial, accounting, or regulatory advice. Our recommendations are offered in good faith based on the information available during the engagement. We make no warranties that specific business outcomes will result from any consulting engagement.

11. Limitation of Liability

To the extent permitted by Thai law, quorinth's liability to a Client in connection with any consulting engagement is limited to the fees paid for that specific engagement. We are not liable for indirect, incidental, or consequential losses arising from our services or website use. Nothing in these Terms excludes liability for fraud or negligence causing personal injury.

12. Termination

Either party may terminate a consulting engagement in accordance with the Engagement Agreement. quorinth reserves the right to terminate website access if these Terms are breached. Confidentiality obligations survive termination of any engagement.

13. Governing Law and Disputes

These Terms are governed by the laws of the Kingdom of Thailand. Disputes shall first be subject to good-faith negotiation. If unresolved within 30 days, disputes shall be referred to the competent courts of Chiang Mai Province, Thailand.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted with a revised date. Continued use of our website following any update constitutes acceptance of the revised Terms.
